Terms of Service

Effective [EFFECTIVE DATE] · Draft of October 30, 2026

These terms are an agreement between you and OpenPasture LLC, which provides Simplie ("Simplie", "we", "us"). They cover the Simplie website, app and text messages (together, "Simplie"). By requesting early access, creating an account or texting Simplie, you agree to these terms. If you use Simplie for a business, you agree on behalf of that business.

1. Who can use Simplie

You must be at least 18, able to enter a contract, and using Simplie in the United States for a business or work purpose.

2. What Simplie does

Simplie keeps records for your business from the texts you send. At launch, you can text notes, expenses and job updates, and Simplie texts back what it saved. Replying UNDO removes the last save. In the app you can see and manage tasks, your calendar and contacts. Team members can join from their own phones.

Simplie is in Early Access. That means it's new, features may change, be added or be removed, and things may sometimes not work as expected. We may pause or change parts of Simplie while we improve it, and we'll try to give notice of changes that affect you.

3. Early Access, the free period and the founding rate

  1. Limited spots. Early Access spots are limited. We may accept, wait-list or decline a request, and we set people up in small groups each day.
  2. 60 days free. Your free period is 60 days, starting on the day your account is activated (your "start day"). You won't be charged anything during the free period.
  3. Founding rate. If you choose a paid plan by day 30 of your free period, you get the founding rate. We'll show you the founding rate and plan details before you choose. The founding rate stays in place [for as long as your subscription stays active without a break — founder to confirm].
  4. Billing starts only with your consent. Billing can start on day 61 at the earliest, and only if you have chosen a plan and agreed to be billed. We don't switch anyone to a paid plan automatically.
  5. If you don't choose a plan. When the free period ends, you can no longer add new records. Your records stay available for you to export for at least [30] days, and you can ask us to delete them at any time. [Founder to confirm.]
  6. Choosing a plan after day 30. You can still choose a plan after day 30, at the standard price shown at that time.
  7. Paid plans. Paid plans renew [monthly] until you cancel. You can cancel at any time and your plan stays active until the end of the period you've paid for. [Refund policy — counsel to complete.] Prices don't include taxes, which we'll add where required.

4. Your account and your team

5. Text messages

Our Text Messaging Terms are part of these terms. They explain what messages we send, how to get help (HELP) and how to stop texts (STOP). Message and data rates from your carrier may apply.

6. Your data

7. Checking your records

Simplie records what you tell it. It reads texts with software that can misunderstand, so it texts back what it saved. Please check those replies; if something's wrong, reply UNDO or correct it. You're responsible for the accuracy of your records and for any decisions, filings or payments you make based on them. Simplie is not a replacement for records the law requires you to keep in a particular form; keep your own copies of anything you need for taxes, licenses or regulators.

8. No professional advice

Simplie records what you did. It does not give medical, veterinary, chemical-application, legal, tax or building-code advice, and nothing in Simplie should be taken as that kind of advice. For those questions, talk to a qualified professional, and always follow product labels, licenses and local codes.

9. Acceptable use

Don't use Simplie to:

10. Other companies' services

Simplie relies on mobile carriers and other providers to deliver texts and run the service. Some links (such as our booking page on Calendly) take you to other companies' services, which have their own terms and privacy policies. We aren't responsible for those services.

11. Cancelling, suspension and ending

You can stop using Simplie and close your account at any time by emailing support@simplie.ai. We may suspend or close an account that breaks these terms, puts others at risk, or is unpaid after a paid plan has started, and we'll tell you why unless the law or safety prevents it. If we end Simplie or your access for a reason that isn't your fault, we'll give you reasonable notice and a chance to export your records. Sections 6 to 8 and 12 to 15 continue after your account ends.

12. Disclaimers

Simplie, especially during Early Access, is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't promise that Simplie will be uninterrupted or error-free, or that every text will be delivered or read correctly.

13. Limitation of liability

To the extent the law allows:

Some places don't allow these limits, so they may not apply to you.

14. Indemnity

If someone makes a claim against us because of your content, your use of Simplie in breach of these terms, or your breaking the law, you agree to cover our reasonable costs of dealing with it, including reasonable legal fees. [Counsel to review.]

15. Disputes and governing law

If you have a problem, please email us first at support@simplie.ai; most things can be sorted out quickly. These terms are governed by the laws of [STATE], without regard to its conflict-of-laws rules. [Venue / arbitration clause — counsel to decide.]

16. Changes to these terms

We may update these terms. If a change matters, we'll tell account holders by email or in the app at least [14] days before it takes effect. Changes never apply retroactively. If you keep using Simplie after a change takes effect, the new terms apply.
